Ask Michael

1. Scope

These Terms of Use ("Terms") govern your use of the mobile application "Ask Michael" and its related services (the "Service"), provided by MJF Enterprises LLC, 3334 East Coast Highway #332, Corona del Mar, CA 92625, United States, Tax ID: 99-0507687 ("Provider", "we").

By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms.

2. The Service

Ask Michael is an AI-powered personal advisor application offering text and voice conversations with an artificial intelligence assistant, including an animated avatar experience. The Service is provided "as is" and is intended for personal, non-commercial use.

3. Subscriptions, Pricing, and Auto-Renewal

The Service is offered in the following tiers:

  • Associate: USD 19 / month
  • Capo: USD 49 / month
  • Consigliere: USD 99 / month

Subscriptions are sold only on our website, askmichaelfranzese.com. The App itself is free and does not sell subscriptions. Payments are processed by Stripe; the price shown at checkout applies.

Free trial: New subscriptions start with a 7-day free trial. If you cancel before the trial ends, you are not charged.

Auto-renewal: All subscriptions renew automatically every month. Your payment method is charged at the end of the trial and then at the start of each billing period until you cancel.

Managing and cancelling: You can cancel, switch plans or update your payment method at any time under Manage Subscription on our website. Stripe emails you a one-time code to sign in. Cancelling stops the next renewal; your access remains active until the end of the period you have already paid for. Upgrades take effect immediately and are prorated; downgrades take effect at the end of the current paid period.

Refunds: Payments are non-refundable, and we do not issue refunds or credits for partial billing periods or unused time. Any exception is at our sole discretion; contact support@askmichaelfranzese.com.

4. Acceptable Use

You agree not to use the Service to:

  • Obtain legal, medical, or financial advice intended for real-world action without consulting a licensed professional
  • Seek or distribute information that supports criminal activity
  • Produce or distribute content that violates applicable law
  • Engage in automated mass requests (bots, scraping, abuse of the API)
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell, redistribute, or sublicense access to the Service

We reserve the right to suspend or terminate accounts that violate these rules.

5. AI Output: Important Disclaimer

The Service uses artificial intelligence to generate responses. AI-generated content may be inaccurate, incomplete, biased, or out of date. You are solely responsible for evaluating the suitability of any output for your purposes.

The Service is not a substitute for professional legal, medical, financial, psychological, or other regulated advice. Do not rely on Ask Michael for decisions that require licensed expertise.

We make no warranty as to the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

6. Availability

We target a service availability of 99 % but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages (app stores, payment processors, AI model providers), or force majeure events may temporarily interrupt the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://askmichaelfranzese.com/en/privacy.

We do not sell your personal data. Conversations are encrypted in transit and at rest and are not used to train third-party AI models.

8. Intellectual Property

All intellectual property rights in the Service, including software, design, content, trademarks, and the "Ask Michael" name and logo, remain the property of the Provider or its licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal purposes during your active subscription.

9. Limitation of Liability

To the maximum extent permitted by law, the Provider shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data loss, arising from your use of the Service.

In jurisdictions where liability cannot be excluded, the Provider's total liability is limited to the amount paid by you in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for death, personal injury, fraud, or any liability that cannot be lawfully limited.

10. Termination and Account Deletion

You may delete your account at any time via Settings → Delete Account within the App, or by emailing support@askmichaelfranzese.com.

Upon deletion, personal data is removed within 30 days. Transaction data subject to tax retention obligations is kept for the period required by applicable law.

We may terminate accounts immediately for serious breaches of Section 4.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced at least 14 days in advance via email or in-App notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

App Store Notice

The App is distributed through Apple's App Store. Apple is not a party to these Terms but is a third-party beneficiary entitled to enforce them against you. For Apple's standard end-user licence agreement, see https://www.apple.com/legal/internet-services/itunes/dev/stdeula/.

These Terms are a draft and must be reviewed by qualified IT and contract counsel before publication.
